Welcome to Leagoo. Leagoo is a trading name operated by PINXIAN TECHNOLOGY LIMITED. The terms “we,” “us,” and “our” refer to Leagoo and PINXIAN TECHNOLOGY LIMITED.

Leagoo operates this store and website, including all related information, content, features, tools, products, and services, to provide customers with a curated shopping experience (the “Services”). Our store is powered by Shopify, which enables us to provide the Services to you.

These terms and conditions, together with any policies referenced herein (the “Terms of Service” or “Terms”), describe your rights and responsibilities when you access or use the Services.

When you submit an order, you are making an offer to purchase the selected products.

We reserve the right to accept, reject, limit, or cancel an order for legitimate reasons, including product unavailability, pricing or description errors, suspected fraud, payment authorization failure, shipping restrictions, or violation of these Terms.

An order is not accepted until we confirm acceptance and successfully process or authorize payment. An automated order acknowledgment does not necessarily constitute final acceptance.

Please review your order carefully before submitting it. We may be unable to change or cancel an order after processing or shipment has begun.

If we reject, modify, or cancel an order, we will attempt to contact you using the email address, telephone number, billing address, or other contact information supplied with the order.

Unless otherwise agreed in writing, products purchased through our consumer store are intended for personal or household use and not for commercial resale or unauthorized export.

SECTION 4 — PRICES, TAXES, AND BILLING

Prices, discounts, promotions, and product availability are subject to change without notice.

The price charged will be the price displayed when the order is submitted, subject to correction of obvious errors. The applicable amount will appear in the order confirmation and Shopify Checkout.

Unless expressly stated otherwise, displayed prices may exclude applicable sales taxes, duties, handling charges, optional delivery services, and other legally required charges. Applicable charges will be displayed during checkout when available.

Promotions may be subject to separate conditions. If promotional terms conflict with these Terms, the promotional terms will apply to that promotion.

You agree to provide current, complete, and accurate billing, payment, and account information. You agree to promptly update information needed to complete your transaction or contact you.

You represent that you are authorized to use the payment method submitted and that the payment information is accurate. You authorize us and our payment providers to charge the applicable order amount, including taxes and any disclosed fees.

SECTION 5 — SHIPPING AND DELIVERY

Delivery dates and transit times are estimates unless expressly guaranteed in writing. Delays may occur because of carrier capacity, weather, inventory availability, delivery appointments, customs procedures, address issues, force majeure events, or circumstances outside our reasonable control.

Leagoo recliners are large furniture items and may be delivered through parcel or freight carriers. Freight carriers may contact the customer to arrange a delivery appointment.

Customers are responsible for supplying a complete and accurate delivery address, an accessible delivery location, and a valid telephone number.

Unless otherwise stated during checkout, delivery does not include in-home placement, assembly, packaging removal, or removal of existing furniture.

Risk of loss or damage remains with us until the product is delivered to the address supplied with the order, except where loss or damage results from an action or omission by the customer or another person authorized by the customer.

Please inspect the product and packaging promptly after delivery and report visible damage with supporting photographs or videos as soon as reasonably possible.

SECTION 6 — INTELLECTUAL PROPERTY

The Services and their content—including trademarks, brand elements, text, product descriptions, photographs, graphics, videos, audio, software, page layouts, and designs—are owned by or licensed to PINXIAN TECHNOLOGY LIMITED, Leagoo, Shopify, or their respective licensors and are protected by applicable intellectual property laws.

You may use the Services only for personal, lawful, and non-commercial purposes.

Without our prior written permission, you may not reproduce, modify, distribute, publicly display, republish, download, scrape, store, transmit, sell, license, or create derivative works from any protected content, except where such activity is expressly permitted by law.

Leagoo names, logos, product names, designs, and slogans are trademarks or brand assets belonging to PINXIAN TECHNOLOGY LIMITED or its licensors. Shopify names and logos belong to Shopify. Other names, logos, and marks belong to their respective owners.

No license or ownership right is granted except as expressly stated in these Terms.

SECTION 7 — OPTIONAL TOOLS

We may provide access to tools, applications, integrations, or services supplied by third parties.

Unless expressly stated otherwise, we do not control or monitor those third-party tools. Access is provided on an “as available” basis without endorsement.

Your use of third-party tools is at your discretion and may be governed by the third party’s terms and privacy policy. You should review those terms before using the tool.

We may introduce new tools, features, or resources in the future. Unless otherwise stated, those additions form part of the Services and are governed by these Terms.

SECTION 9 — RELATIONSHIP WITH SHOPIFY

Leagoo is powered by Shopify, which enables us to provide the Services.

Sales and purchases made through our store are transactions directly between you and PINXIAN TECHNOLOGY LIMITED, operating under the Leagoo brand.

Shopify is not the seller of Leagoo products and is not responsible for product design, manufacture, descriptions, fulfillment, delivery, warranties, returns, customer service, injury, damage, or loss resulting from Leagoo products, except to the extent Shopify is independently responsible under applicable law.

To the extent permitted by law, you release Shopify and its affiliates from claims arising solely from sales transactions between you and Leagoo.

We may correct errors, update information, or cancel an affected order when permitted by law. If we cancel a paid order because of an error, we will refund the affected payment.

We do not guarantee that the website or Services will always be uninterrupted, timely, secure, or error-free.

Some jurisdictions do not permit certain warranty exclusions. In those jurisdictions, these exclusions apply only to the extent legally permitted.

SECTION 17 — LIMITATION OF LIABILITY

To the fullest extent permitted by applicable law, PINXIAN TECHNOLOGY LIMITED, Leagoo, our affiliates, directors, officers, employees, agents, contractors, licensors, and service providers will not be liable for indirect, incidental, special, punitive, or consequential damages, including lost profits, lost revenue, lost savings, lost data, or replacement costs, arising from the Services or products purchased through the Services.

Nothing in these Terms excludes or limits liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, willful misconduct, or any liability that cannot legally be excluded or limited.

Where liability cannot be excluded but may be limited, our liability will be limited to the maximum extent permitted by applicable law.

Consumer rights provided by mandatory law remain unaffected.

SECTION 18 — INDEMNIFICATION

To the extent permitted by law, you agree to indemnify and hold harmless PINXIAN TECHNOLOGY LIMITED, Leagoo, Shopify, and our respective affiliates, officers, directors, employees, agents, contractors, licensors, and service providers from third-party claims, losses, or reasonable legal costs arising from:

1. Your material breach of these Terms.

2. Your violation of applicable law.

3. Your infringement of another person’s rights.

4. Your fraudulent, malicious, or unauthorized use of the Services.

We will provide reasonable notice of an indemnifiable claim. Failure to provide prompt notice will not relieve you of an obligation unless the delay materially prejudices your ability to respond.

This section does not require a consumer to indemnify us for losses caused by our own negligence, breach, or unlawful conduct.

If any provision of these Terms is determined to be unlawful, invalid, or unenforceable, that provision will be enforced to the greatest extent permitted by law or severed where necessary.

The remaining provisions will continue in full force and effect.

Subject to any mandatory consumer protection or jurisdictional rights applicable in the customer’s place of residence, disputes shall be submitted to the courts of the Hong Kong Special Administrative Region.

Nothing in this section deprives a consumer of any mandatory rights or protections provided by applicable law.

Continued use of the Services after revised Terms take effect constitutes acceptance of those revisions, except where additional consent is required by law.
